Report: Identified a need for a correction to the by law with reference to IRS status (501©(6); both the articles of incorporation and the bylaws make reference to the corporation as a 501(c)(3) , but the IRS granted the association tax exempt status under 501 (c) (6) - a business league. There is a sentence in our bylaws which states: "No substantial part of the activities of the Corporation shall be the carrying on of propaganda or otherwise attempting to influence legislation, except that the corporation may elect to have provisions of Section 501(h) of the Internal Revenue Code of 1954 (or the corresponding provision of any future United States internal revenue law) apply with respect to such activities.
What the IRS regulations do say about 501 (c) (6) is the following:
"Legislative activity. An organization that is exempt under section 5019©(6) may work for the enactment of laws to advance the common business interests of the organization's members."
Recommend the by laws be changed to read as follows: The Association shall not be operated for profit
(except that the Association shall be authorized and empowered to pay
reasonable compensation for services rendered and to make payments and
distributions in furtherance of its purpose as set forth in Article III,
hereof). The Association shall not
directly or indirectly participate in, or intervene in (including the
publishing or distribution of statements), any political campaign on behalf of
or in opposition to any candidate for public office. Notwithstanding any provisions in these
By-Laws or in the Association's Articles of Incorporation, the Association
shall not carry on any activities not permitted to be carried on by an
organization exempt from federal income taxation under Section 501(a) of the
Internal Revenue Code of 1954 as an organization described in Code Section
501(c)(6), (or corresponding provisions of any future United States internal
revenue laws).DELETE: [No substantial part of the activities of the Corporation
